RGE Collection — Terms of Use

Welcome to the RGE Collection, the inspiration section of the Really Good Emails website www.reallygoodemails.com (the "Website"), owned and operated by BEE Content Design, Inc., a Delaware corporation ("BCD").

These Terms of Use (the "Agreement") govern your access to and use of the RGE Collection section of the Website (www.reallygoodemails.com), including all content, functionality, and services made available through it (collectively, the "RGE Collection Service"), whether as a guest or a registered user. The "RGE Collection" is the curated repository of email communications made available through the RGE Collection service, comprising: (i) email content submitted by Users or sourced by BCD from publicly accessible sources; (ii) editorial metadata, categorization, and classification added by BCD; and (iii) proprietary modifications applied by BCD to submitted content, including the substitution of personal data with standardized placeholder elements (such as the name "Smiles Davis"), for the purpose of anonymization and display within the platform.

Please read this Agreement carefully before using the RGE Collection Service. By accessing or using the RGE Collection Service, you accept and agree to be bound by this Agreement and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to this Agreement or the Privacy Policy, you must not access or use the RGE Collection Service.

This Agreement is in addition to, and should be read together with, the Really Good Emails Website Terms of Use, which continue to apply to your general access to and use of the Website. In the event of any conflict between this Agreement and the Website Terms of Use, this Agreement shall prevail with respect to your use of the RGE Collection Service.

The RGE Collection Service is intended exclusively for professional users. By accessing or using the RGE Collection Service, you represent and warrant that you are acting in a professional capacity and that you are not a consumer for the purposes of any applicable consumer protection legislation. The RGE Collection Service and this Agreement are therefore not subject to any legal framework applicable to agreements concluded with consumers. If you do not meet this requirement, you must not access or use the RGE Collection Service.

Changes to the Terms of Use

BCD may unilaterally amend or supplement this Agreement at any time. All amendments or supplements will be effective from the moment in which BCD makes the updated version of this Agreement available on the Website. Any subsequent use of the RGE Collection Service shall be deemed acceptance of such amendments and/or supplements.

Notwithstanding the foregoing, any changes to the dispute resolution provisions set out in the Governing Law and Jurisdiction section will not apply to any disputes for which the parties have actual notice on or before the date the change is posted by BCD.

Access to the RGE Collection Service and Account Security

BCD reserves the right to modify, suspend, or discontinue the RGE Collection Service, or any part thereof, at any time and in its sole discretion, without notice. BCD will not be liable if the RGE Collection Service, or any part of it, is unavailable at any time or for any period. BCD may from time to time restrict access to some or all features of the RGE Collection Service, including to registered users.

Each user is solely responsible for making all arrangements necessary to access the RGE Collection Service and for ensuring that all persons who access it through their internet connection are aware of and comply with this Agreement.

To access certain features of the RGE Collection Service, you may be required to register and provide certain information. It is a condition of your use of the RGE Collection Service that all information you provide is accurate, current, and complete. All information submitted in connection with your registration or use of the RGE Collection Service is governed by our Privacy Policy.

If you are issued or choose a username, password, or any other credential as part of our security procedures, you must keep such information confidential and must not disclose it to any third party. Your account is personal to you and may not be shared with or accessed by any other person. You agree to notify BCD immediately of any unauthorized access to or use of your credentials or any other breach of security, and to ensure that you log out of your account at the end of each session. You should exercise particular caution when accessing your account from a public or shared device.

BCD reserves the right to suspend or disable any account, username, password, or other credential, whether chosen by you or issued by BCD, at any time and in its sole discretion, including if BCD reasonably determines that you have violated any provision of this Agreement.

Use Policy

The RGE Collection Service may allow you and other users to post, store and share marketing, communications, or other content, including, but not limited to, email, text or messages, photos, videos, and other materials ("Contents").

You can use these Contents only for lawful purposes and in accordance with this Agreement.

You can use the Contents to get inspiration from them to create your own content.

Access to the RGE Collection Service and the Contents is personal, as is your account if you are a registered user, and it is not possible to share, transfer, or assign rights under this Agreement.

User Contributions

The RGE Collection Service contains interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the RGE Collection Service.

All User Contributions must comply with the Content Standards set out in this Agreement.

Any User Contribution you post to the RGE Collection Service will be considered non-confidential and non-proprietary. By providing any User Contribution on the RGE Collection Service , you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
  • All of your User Contributions do and will comply with this Agreement.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not BCD, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. This includes all content submitted to Grading Features (as defined below) or analytical tools provided thorough the RGE Collection Service.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the RGE Collection Service .

Grading Features

The RGE Collection Service may include features that analyze or score user-submitted email HTML or other content ("Grading Features"). The Grading Features operate using fixed rules, factual criteria, and industry-standard statistical comparisons. They are deterministic tools and do not generate creative content.

The results, scores, or analyses produced by the Grading Features are provided for informational purposes only. They are not, and should not be construed as, professional, technical, marketing, legal, or other advice. BCD does not guarantee the accuracy, completeness, usefulness, or applicability of any results, nor does BCD assume any liability for actions taken or not taken based on such results.

By using the Grading Features, you acknowledge and agree that any reliance on the results is at your sole risk, and BCD shall have no responsibility or liability arising from or related to such use.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Agreement and our Privacy Policy.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
  • Communicate or disseminate any personal data and information by including those personal data and information in the User Contributions.

Intellectual Property Rights

The RGE Collection Service and its functionality (including but not limited to all software, the design, content, selection, and arrangement thereof, as well as the outputs of the Grading Features) are owned by BCD, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

This Agreement permits you to use the RGE Collection Service for your personal, and not for commercial use.

You must not delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the RGE Collection Service.

No right, title, or interest in or to the Website, the RGE Collection, the RGE Collection Service, or any content on the Website is transferred to you, and all rights are reserved by BCD or the providers of material on the Website. Any use of the Website, the RGE Collection, RGE Collection Service not expressly permitted by this Agreement is a breach of the Agreement and may violate copyright, trademark, and other laws.

Trademarks

The BCD name, the terms "Really Good Emails," "BEE Content Design," and "Beefree," the BCD logo, and all related names, logos, product and service names, designs, and slogans are trademarks of BCD or its affiliates or licensors. You must not use such marks without the prior written permission of BCD. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Prohibited Uses

You may use the RGE Collection Service only for lawful purposes and in accordance with this Agreement. You agree not to use the RGE Collection Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any copyright laws, or any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in this Agreement.
  • To transmit, or procure the sending of, any political campaign, unsolicited advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation, or engaging in other unlawful activities such as phishing.
  • To impersonate or attempt to impersonate BCD, a BCD employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the RGE Collection Service, or which, as determined by us, may harm BCD, third parties, or users of the RGE Collection Service, or expose them to liability.
  • In any way that would constitute, encourage or provide instructions for a criminal offense.

Additionally, you agree not to:

  • Use the RGE Collection Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the RGE Collection Service, including their ability to engage in real time activities through the RGE Collection Service .
  • Use any robot, spider, or other automatic device, process, or means to access the RGE Collection Service for any purpose, including monitoring or copying any of the material displayed on the RGE Collection Service .
  • Use any manual process to monitor or copy any of the material on the RGE Collection Service , or for any other purpose not expressly authorized in this Agreement, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the RGE Collection Service .
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the RGE Collection Service, the server on which the Website is stored, or any server, computer, or database connected to the RGE Collection Service .
  • Attack the RGE Collection Service via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the RGE Collection Service .

SLA & Support

BCD will not provide any service level agreements for the RGE Collection Service.

BCD will not provide any support to the user.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates this Agreement, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the RGE Collection Service or the public, or could create liability for BCD.
  • Disclose information about you to any third party as provided for by law, for instance to judicial authorities or to parties who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the RGE Collection Service.
  • Terminate or suspend your access to all or part of the RGE Collection Service for any or no reason, including without limitation, any violation of this Agreement.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the RGE Collection Service.

YOU WAIVE AND HOLD HARMLESS BCD AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review all material before it is posted on the RGE Collection Service, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Copyright Infringement

If you believe that any User Contributions violate your copyright, please see our Copyright (DMCA) Policy at https://reallygoodemails.com/dmca for instructions on sending us a notice of copyright infringement. It is the policy of BCD to terminate the user accounts of repeat infringers.

Reliance on Information Posted

The information presented on or through the RGE Collection Service, including but not limited to the Grading Features, is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor, user, or guest to the RGE Collection Service, or by anyone who may be informed of any of its contents.

The RGE Collection Service includes content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by BCD, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of BCD. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Changes to the RGE Collection Service

We may update the content or additional features (such as the Grading Features) on the RGE Collection Service from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the RGE Collection Service may be out of date at any given time, and we are under no obligation to update such material.

Information About you and your visits to the RGE Collection Service

All information we collect on the RGE Collection Service is subject to our Privacy Policy.

Data Protection

You undertake to comply with the applicable data protection legislation and to process all personal data and information you may have access in the context of this Agreement solely for specified and legitimate purposes.

You acknowledge that during the performance of this Agreement, we do not process personal data and information on your behalf as a data processor, but – when a data processing activity takes place – we act autonomously as data controller establishing the purposes and means of the processing operations. Our services are not intended to process personal data and shall not be used to process personal data. BCD declines any liability with respect to any independent upload by you of personal data within our Interactive Services and/or User Contributions, and we decline any liability that may derive from any accidental and unintended access to such personal data or from being considered as a data processor of personal data on your behalf.

You hereby accept that BCD may process and store for statistical, legal, and quality analysis all data deriving from your use of the RGE Collection Service. You acknowledge and accept that BCD may use such data in order to contribute to the effective improvement of the RGE Collection Service functioning and the production of statistical information that may be used by BCD in aggregate form. BCD, as owner of these aggregated data, will assure the full anonymization of the analyzed data to avoid any processing and disclosure or communication of your personal data.

In case of corporate operations of BCD (e.g., transfer of all or part of the company to a third party), the personal data and information will be transferred as business assets to third parties according to such operations, in compliance with the applicable data protection legislation.

Linking to the RGE Collection Service and Social Media Features

You may link to the RGE Collection Service , provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

The RGE Collection Service may provide certain social media features that enable you to:

  • Link from your own or certain third-party websites to certain content on the RGE Collection Service .
  • Send emails or other communications with certain content, or links to certain content, on the RGE Collection Service .

You may use these features solely as they are provided by us, solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

  • Establish a link from any website that is not owned by you, or for which you do not have the right to do so.
  • Cause the RGE Collection Service or portions of it to be displayed on, or appear to be displayed by, any other site, for example, framing, deep linking, or in-line linking.
  • Otherwise take any action with respect to the materials on the RGE Collection Service that is inconsistent with any other provision of this Agreement.

The website from which you are linking, or on which you make certain content accessible, must comply in all respects with the Content Standards set out in this Agreement.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion.

Links from the RGE Collection Service

If the RGE Collection Service contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the RGE Collection Service , you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Geographic Restrictions

The owner of the RGE Collection Service is based in the State of California in the United States. We provide the RGE Collection Service for use only by persons located in the United States. We make no claims that the RGE Collection Service or any of its content is accessible or appropriate outside of the United States. Access to the RGE Collection Service may not be legal by certain persons or in certain countries. If you access the RGE Collection Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the RGE Collection Service will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Website for any reconstruction of any lost data.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. YOU ASSUME ALL RISK OF ANY DAMAGES ARISING FROM THE USE OF OR ACCESS TO THE WEBSITE, ITS CONTENT, AND ANY SERVICE, YOUR INTERACTIONS WITH OTHER USERS OF THE WEBSITE, AND ANY CONTENT AVAILABLE ON THE WEBSITE. TO THE FULLEST EXTENT PROVIDED BY LAW, BCD HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL BCD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE RGE COLLECTION SERVICE , ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE RGE COLLECTION SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE (OR INABILITY TO USE) THE RGE COLLECTION SERVICE OR ANY CONTENT AVAILABLE THROUGH THE RGE COLLECTION SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHER LEGAL THEORY IS LIMITED TO US$100.

EACH PROVISION OF THESE TERMS OF USE THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTY, OR DAMAGES IS TO ALLOCATE THE RISKS UNDER THESE TERMS OF USE BETWEEN YOU AND BCD. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE AGREEMENT BETWEEN THE PARTIES. EACH OF THESE PROVISIONS SHALL BE DEEMED SEPARATE AND INDEPENDENT FROM ALL OTHER PROVISIONS OF THESE TERMS OF USE. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless BCD, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the RGE Collection Service, including, but not limited to, your User Contributions, any use of the RGE Collection Service's content, services, and products other than as expressly authorized in this Agreement, or your use of any information obtained from the RGE Collection Service.

Force Majeure

BCD may not be deemed in any way liable for the failure to perform these Terms of Use caused by factors falling outside its reasonable control (a "Force Majeure Event") including by way of example and without any limitation, acts of God, uprisings, acts of terrorism and war, strikes, labor stoppages or slowdowns or other industrial disturbances, riots, tornadoes, hurricanes, floods, mudslides and landslides, fire, earthquake or explosion, embargoes or blockades in effect on or after the date of these Terms of Use, national or regional emergency, passage of law or any action taken by a governmental or public authority, or national or regional shortage of adequate power or telecommunications or transportation.

Governing Law, Venue and Jurisdiction

This Agreement shall be governed by and construed in accordance with the internal laws of the State of California applicable to agreements made and to be performed entirely within such State, without regard to the conflicts of law principles of such State. Each party irrevocably submits to the exclusive jurisdiction of (a) the Supreme Court of the State of California, San Francisco County, or (b) the United States District Court for the Northern District of California, for the purposes of any suit, action or other proceeding arising out of this Agreement or any transaction contemplated hereby.

Each party agrees to commence any such action, suit or proceeding either in the United States District Court for the Northern District of California or, if such suit, action or other proceeding may not be brought in such court for jurisdictional reasons, in the Superior Court of the State of California, San Francisco County. Each party further agrees that service of any process, summons, notice or document by U.S. registered mail to such party's respective address shall be effective service of process for any action, suit or proceeding in California with respect to any matters to which it has submitted to jurisdiction under this section.

Each party irrevocably and unconditionally waives any objection to the laying of venue of any action, suit or proceeding arising out of this Agreement in (i) the Superior Court of the State of California, San Francisco County, or (ii) the United States District Court for the Northern District of California, and further irrevocably waives and agrees not to plead or claim that any such action, suit or proceeding brought in any such court has been brought in an inconvenient forum. The prevailing party in any such litigation shall be entitled to reimbursement of reasonable attorneys' fees and court costs.

Waiver and Severability

No waiver by BCD of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by BCD. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from this Agreement shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege. If one or more of the clauses of this Agreement is declared null and void or unenforceable by the competent court of law, the remaining clauses of this Agreement shall continue to be valid and effective between the parties, unless such clause constituted a determinant reason for the conclusion of this Agreement.

Entire Agreement

This Agreement, together with the Privacy Policy incorporated herein by reference, constitutes the entire agreement between the parties with respect to the RGE Collection Service and supersedes all prior and contemporaneous understandings, whether written or oral, relating to such subject matter. This Agreement is in addition to, and does not supersede, the Really Good Emails Website Terms of Use, which continue to apply to your general access to and use of the Website.

You may provide, or BCD may ask, you to provide suggestions, comments, input or other feedback regarding the RGE Collection Service ("Feedback"). If you provide BCD with any Feedback, you grant BCD a perpetual, irrevocable, royalty-free, non-exclusive, worldwide, sublicensable, and transferable license to use, reproduce, publicly display, distribute, modify, and publicly perform the Feedback as BCD sees fit. Any Feedback you choose to provide is given entirely voluntarily. You are aware and accept that you will not receive any compensation for your Feedback, and that BCD may use any Feedback you provide to improve the Website or to develop new features and services, in BCD's discretion.
